Securities prospectuses filed

Database of securities prospectuses filed since 1 July 2005

Before you move on to the database of securities prospectuses filed, please take the time to read the explanatory notes below.

Notes on the database

BaFin makes available on its website the securities prospectuses that it has approved and, where appropriate, any supplements to an approved securities prospectus.

Making prospectuses available in this way does not constitute publication within the meaning of section 14 of the Securities Prospectus Act [Wertpapierprospektgesetz – WpPG]. Its sole purpose is to meet BaFin's obligation under section 13 (4) of the Act. In particular, it does not affect the obligation incumbent upon the applicant for listing or the offeror to publish the securities prospectus and any supplements.

BaFin would hereby draw to your attention the fact that publications under section 15 of the Securities Trading Act [Wertpapierhandelsgesetz – WpHG] may contain other important information on the issuer or the securities.

BaFin accepts no liability for the timeliness, completeness and accuracy of the securities prospectuses and any supplements made available on this website. These documents and the preparation thereof as a whole are the sole responsibility of the applicant for listing or offeror in each case.
The only securities prospectuses the full text of which can be downloaded are those which have been filed with and approved by BaFin within the last twelve months.
In addition to the above provisions, attention is also drawn to the General Terms and Conditions of Use of the BaFin website.

Guidance on use

You can search for a particular prospectus via the name of the issuer or offeror or via the Security Identification Number [Wertpapierkennnummer – WKN] for German issuers or the International Security Identification Number (ISIN) for foreign issuers. You can search for issuers or offerors either by entering the full name in the search field or by entering the first letter or letters of the name or by clicking on the initial letter below the search field. The WKN/ISIN can also be entered in full or with only some of the first few digits.

If you have found the WKN/ISIN you were searching for, this means that for the offer for sale of the securities in question a prospectus has been filed with BaFin and has been checked for completeness, comprehensibility and consistency and was approved by BaFin.

The mere fact that a prospectus has been filed and published implies nothing about the probity or creditworthiness of the issuer. Nevertheless, the prospectus may contain valuable information for any investment decision.

This database contains no statement as to whether the offerors and/or issuers listed require or have obtained authorisation under section 32 (1) of the Banking Act [Kreditwesengesetz – KWG]. Further information in this regard may be found under "Search companies" .

As a general principle you obtain the prospectus from the applicant for listing or from the offeror. If mention is made of a daily newspaper, you can generally find in the edition in question a reference to where and from whom you can obtain a prospectus.

BaFin does not send out prospectuses.

In a few cases it may happen that no further information on an issuer or offeror appears apart from the address field. In these cases, please allow for an issue in that case being in the alternative category (offeror or issuer). Since securities also exist for which no WKN/ISIN has been allocated but for which prospectuses have been duly filed and published, these are shown without a WKN/ISIN.

The database is updated on a daily basis. BaFin has compiled the information with all due care and attention. Nevertheless, no liability can be assumed for the timeliness, completeness and accuracy of the information provided on the securities prospectuses and any supplements.
