In a notice dated 11 June 2025, BaFin prohibited the offer made by CAUSA Verwaltungs GmbH, München, for the acquisition of shares to the shareholders of Mutares SE & Co. KGaA as published in the German Federal Gazette (Bundesanzeiger) on 23 May 2025.
This action was taken on the basis of section 15 (1) of the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz – WpÜG).
CAUSA Verwaltungs GmbH, München, did not publish any offer documents approved by BaFin containing the required information under the WpÜG. Neither did CAUSA Verwaltungs GmbH, München, submit any offer documents to BaFin that met the requirements of the WpÜG.
The notice is immediately enforceable but not yet final and binding.
