BaFin is currently receiving many queries, complaints and information regarding Juicy Holdings B.V.. False claims are also being made in connection with BaFin, which is why we are informing investors of a number of key facts.

Prohibition of Juicy Holdings B.V.’s offer to the public

On 3 June 2022, BaFin prohibited Juicy Holdings B.V. (Amsterdam, the Netherlands) from offering investments in JuicyFlash, JuicyMist, JuicyKush and JuicyHaze cannabis plants to the public in Germany. Juicy Holdings B.V. is therefore not authorised to offer these investments to the public in Germany. BaFin published a notice about this on its website.

The prohibition was imposed due to the following:
The aforementioned investment opportunities are capital investments within the meaning of the German Capital Investment Act (Vermögensanlagengesetz – VermAnlG). As a result, Juicy Holdings B.V. was legally required to publish a prospectus approved by BaFin prior to making its offer available to the public in Germany through various channels, including its website https://juicyfields.io/de/. The company did not, however, comply with this requirement at any point in time.

In March 2022, BaFin issued a warning about another capital investment offered by Juicy Holdings B.V. in the form of a subordinated loan. Juicy Holdings B.V. then discontinued this offer on the website https://juicyfields.crowddesk.io. The company subsequently changed the structure of its offer and made the above investment opportunities available to the public although it was not authorised to do so. As a result, BaFin imposed a prohibition on Juicy Holdings B.V. in June.

Correction of the false information in circulation

It is not true that BaFin has approved Juicy Holdings B.V.’s offer to the public. On 10 June 2022, BaFin addressed these false claims on its website.

As for the other false information that is currently in circulation, BaFin would like to point out that it has not blocked any websites or frozen any investors’ accounts.

Juicy Holdings B.V.’s capital investments are unregulated capital market products. This means that those offering such products do not require authorisation from BaFin and are not subject to ongoing supervision. These providers are nevertheless required to draw up a prospectus if they offer securities or capital investments to the public. However, when BaFin examines prospectuses, it does not check whether a provider or its products are legitimate. For this reason, you should always be particularly cautious when considering products that are offered in this market segment.
